FROMM FORM 1:1 COACHING AGREEMENT

This Coaching Agreement (“Agreement”) is between Wesley Fromm, doing business as FROMM FORM (“FROMM FORM,” “Coach,” “we,” “us,” or “our”) and the individual accepting this Agreement (“Client,” “you,” or “your”).

NAVPOINT by FROMM FORM (“NAVPOINT”) is the coaching system FROMM FORM uses to support and deliver portions of the coaching service. NAVPOINT is not a separate company or contracting party.

By electronically accepting this Agreement, you confirm that you have read it, understand it, are at least 18 years old, and agree to its terms.

1. The Coaching Relationship

FROMM FORM provides individualized remote fitness and nutrition coaching. The purpose of the coaching relationship is to give you a structured plan, observe how that plan works in your real life, and adjust it using your execution, feedback, goals, schedule, recovery, and other relevant information.

Coaching is collaborative. FROMM FORM is responsible for providing the coaching process described in this Agreement. You are responsible for performing the work, providing reasonably accurate information and feedback, and making your own day-to-day decisions about your health, safety, and participation.

The service is not “done for you.” We provide the plan, coaching, accountability, feedback, and adjustments. You execute it.

2. What Your Coaching Includes

2.1 Individualized Strength and Conditioning

FROMM FORM will develop and adjust strength and conditioning programming based on information reasonably available about your goals, training experience, equipment, schedule, performance, limitations, recovery, and feedback.

Programming may change as your circumstances and performance change.

2.2 Nutrition Coaching

Nutrition coaching may include individualized daily targets for protein, carbohydrates, and fat, together with coaching around food choices, meal structure, adherence, habits, and sustainable implementation.

Any calorie figure displayed in connection with those targets is mathematically derived from the assigned macronutrient targets. Calories are not treated as a separate independent prescription.

You are responsible for tracking food intake accurately enough for meaningful comparison against your assigned targets. Imperfect tracking does not automatically constitute a violation of this Agreement, but missing or materially inaccurate information may limit how precisely your nutrition plan can be adjusted.

Nutrition coaching is general, nonmedical coaching. It is not medical nutrition therapy and is not intended to diagnose, treat, cure, or manage disease.

2.3 Weekly FITREP Cycle

The coaching relationship follows a weekly review cycle.

You are expected to submit a weekly FITREP, which is your check-in regarding the prior week. Your FITREP and available execution information may include adherence, workout performance, recovery, fatigue, pain or discomfort, nutrition adherence, obstacles, schedule changes, and other information relevant to the next week.

FROMM FORM reviews the available information and uses it to make the next coaching decision and issue or confirm your next-week instructions (“Orders”).

You should submit your FITREP before the applicable weekly review point or scheduled coaching call.

A missed or materially incomplete FITREP may reduce the level of personalization possible for that week. It does not automatically create a right to a refund, additional call, extension, or make-up service.

Repeated failure to participate in the coaching process may be addressed as a coaching-engagement issue and, if material and ongoing, may be grounds for termination under Section 12.

2.4 Messaging Access

Clients may contact FROMM FORM through NAVPOINT or another approved coaching communication channel.

FROMM FORM will ordinarily respond to coaching-related messages within one business day, Monday through Friday.

Responses are not guaranteed on weekends, U.S. federal holidays, or other announced business closures. A message sent late Friday, during a weekend, or on a holiday may therefore be answered on the next business day.

Messaging access is not 24/7 access and is not an emergency or medical service.

2.5 Live Coaching Calls

The live-call cadence depends on your coaching rate.

While you are receiving coaching at the $750 monthly Standard Coaching level, your service includes one 30-minute individual coaching call during each coaching week.

This includes both:

(a) Standard month-to-month clients paying $750 per month; and

(b) clients completing a three-calendar-month commitment at the $750 monthly service level.

Once an eligible commitment client transitions to the $500 monthly Preferred Coaching Rate, the service includes two 30-minute individual coaching calls per calendar month.

The weekly FITREP and weekly coaching-review cycle continue even during Preferred Coaching weeks when no live call is scheduled.

Additional calls beyond the included cadence are not guaranteed and may be provided at the Coach’s discretion.

2.6 Dynamic Adjustments

FROMM FORM may modify training, conditioning, nutrition targets, or other coaching instructions based on your actual performance, feedback, adherence, recovery, goals, schedule, available equipment, and other relevant information.

Individualized coaching means the program is informed by the individual. It does not mean every part of the plan will change every week.

3. Coaching Call Scheduling and No-Shows

You are responsible for scheduling and attending your included calls through the scheduling process provided by FROMM FORM.

You may cancel or reschedule an included coaching call with at least 24 hours’ notice without losing that call.

A cancellation or rescheduling request made with less than 24 hours’ notice, or a failure to attend a scheduled call, counts as the included call for that coaching week or month unless FROMM FORM chooses to make an exception.

Unused included calls do not accumulate or roll over into future weeks or months.

If FROMM FORM cancels a scheduled coaching call, that cancellation does not count against your included calls and a replacement opportunity will be made available.

FROMM FORM may make reasonable exceptions for emergencies or genuine hardship.

4. Your Responsibilities

You agree to participate honestly and reasonably in the coaching process.

You are responsible for providing materially accurate information about your goals, experience, equipment, schedule, relevant physical limitations, injuries, dietary restrictions, allergies, and other circumstances that reasonably affect your coaching.

You agree to tell FROMM FORM when relevant circumstances materially change rather than knowingly continuing to follow a plan based on information that is no longer accurate.

You are responsible for using appropriate judgment when exercising remotely, including using equipment properly, maintaining an appropriate training environment, selecting weights or intensity you can safely control, and stopping when continuation would be unsafe.

You agree to communicate meaningful pain, injury, unusual symptoms, significant recovery problems, or other concerns that may affect safe participation.

You are responsible for completing your own workouts, nutrition tracking, habits, and other assigned work.

You agree to interact professionally with FROMM FORM and not to misuse NAVPOINT, attempt unauthorized access, harass or threaten the Coach or others, engage in fraud, or use the service for unlawful purposes.

5. No Guaranteed Result

FROMM FORM promises a coaching process, not a particular biological outcome.

No specific amount or rate of weight loss, fat loss, muscle gain, strength improvement, performance improvement, body-composition change, or other result is guaranteed.

Results vary based on factors including execution, consistency, physiology, training history, sleep, stress, recovery, nutrition adherence, medical circumstances, medications, lifestyle, and factors outside the Coach’s control.

No specific timeline for achieving an outcome is guaranteed.

The absence of a guaranteed result does not reduce FROMM FORM’s obligation to provide the coaching services described in this Agreement.

6. Health, Medical Scope, and Safety

6.1 Coaching Is Not Medical Care

FROMM FORM does not provide medical diagnosis, medical treatment, physical therapy, psychotherapy, medical nutrition therapy, emergency services, or medical prescribing.

Information or coaching provided through FROMM FORM or NAVPOINT is not a substitute for care from a physician or other appropriately licensed healthcare professional.

6.2 Your Health and Participation

You are responsible for determining whether participation is appropriate for you and for obtaining medical or other professional clearance when appropriate.

You agree to disclose relevant injuries, physical limitations, medical restrictions, or other circumstances that you know could materially affect your ability to participate safely.

FROMM FORM may modify, pause, or decline to provide particular programming when your needs appear to fall outside the Coach’s professional scope. FROMM FORM may also require appropriate professional clearance before continuing particular activities.

6.3 Symptoms and Injury

If you experience significant pain, injury, dizziness, chest pain, unusual shortness of breath, fainting, or another potentially serious symptom, stop the activity and seek appropriate medical attention.

Do not use NAVPOINT messaging or your normal coaching response time as a substitute for emergency care. For an emergency, call 911 or your applicable local emergency service.

6.4 Assumption of Exercise and Nutrition Risks

You understand that exercise, strength training, conditioning, changes in diet, and participation in fitness activities involve inherent risks. Those risks can include soreness, strains, sprains, falls, equipment-related injuries, cardiovascular events, aggravation of an existing condition, and other injury or adverse effects.

Remote coaching also means the Coach is generally not physically present to supervise your environment, equipment, form, or moment-to-moment decisions.

By participating, you knowingly accept the ordinary inherent risks of the activities you choose to perform.

To the extent permitted by applicable law, FROMM FORM is not responsible for injury or loss caused by your failure to disclose materially relevant information, disregard of safety instructions, unsafe use of equipment, unsafe training environment, or decision to continue an activity despite warning signs.

Nothing in this Agreement waives or limits liability that cannot legally be waived or limited, including liability arising from conduct for which applicable law prohibits a waiver.

7. Enrollment, Service Start, and Your Enrollment Offer

Your specific commercial arrangement is stated in the Enrollment Offer presented to you before payment (“Enrollment Offer”).

Your Enrollment Offer is incorporated into this Agreement for purposes of your selected payment structure, accepted price, and applicable commitment.

If this Agreement and your Enrollment Offer appear to conflict regarding your specific accepted price or payment arrangement, the accepted Enrollment Offer controls that specific commercial term. This Agreement controls the general coaching relationship.

Your coaching service begins when your initial payment is successfully verified and your Enrollment becomes effective in NAVPOINT.

Onboarding and initial program setup are part of the paid coaching period. The term does not begin later merely because your first workout, first live call, or first completed FITREP occurs after enrollment.

If an unusual delay caused by FROMM FORM materially prevents coaching from beginning as reasonably expected, FROMM FORM may extend the service period or provide another appropriate accommodation.

8. Coaching and Payment Options

8.1 Standard Month-to-Month Coaching

Standard Coaching is $750 per month, billed monthly in advance.

There is no initial multi-month commitment.

The service automatically renews monthly at $750 until canceled.

Standard Coaching includes the $750-level service described in this Agreement, including one 30-minute individual coaching call during each coaching week.

8.2 Three-Calendar-Month Commitment — Installments

Under the installment commitment, you agree to a three-calendar-month initial coaching commitment.

The payment schedule is:

**$750 at enrollment;
$750 one calendar month after enrollment; and
$750 two calendar months after enrollment.**

The total initial commitment is $2,250.

These payments are the initial commitment and are not ordinary month-to-month renewal payments.

At the end of the three-calendar-month commitment, your coaching automatically transitions to the $500 per month Preferred Coaching Rate unless you stop continuation before that charge is processed.

8.3 Three-Calendar-Month Commitment — Paid in Full

The standard paid-in-full price for the three-calendar-month initial commitment is $2,000.

FROMM FORM may approve a lower individualized paid-in-full amount for a particular Client. If so, the exact amount shown in your accepted Enrollment Offer controls.

The full accepted amount is charged at enrollment.

At the end of the three-calendar-month commitment, your coaching automatically transitions to the $500 per month Preferred Coaching Rate unless you stop continuation before that charge is processed.

8.4 Preferred Coaching

Preferred Coaching is $500 per month, billed monthly in advance.

Preferred Coaching is month-to-month and has no new multi-month commitment.

Preferred Coaching includes the same weekly FITREP and weekly coaching-review process, individualized programming, nutrition coaching, messaging support, and dynamic adjustments, with two 30-minute individual coaching calls per calendar month rather than weekly live calls.

9. Automatic Continuation and Recurring Billing

Where your Enrollment Offer includes automatic recurring billing, you will be shown the recurring-billing terms clearly and asked to provide separate affirmative consent before payment.

For three-calendar-month commitment clients, FROMM FORM will send a reminder approximately 30 days before the first $500 Preferred Coaching Rate charge. The reminder will identify the upcoming transition, the $500 monthly rate, the expected charge date, and how to stop continuation.

Your initial commitment and the later Preferred Coaching continuation are separate concepts.

Stopping future Preferred Coaching does not cancel, refund, forgive, or otherwise eliminate an initial commitment that already applies.

10. Cancellation and Stopping Automatic Continuation

10.1 How to Cancel

You may stop eligible future automatic continuation through either:

(a) the available Manage Coaching function in NAVPOINT; or

(b) email to wes@frommform.com.

A cancellation or continuation-stop request is effective when successfully submitted through NAVPOINT or received by FROMM FORM by email.

If it is submitted or received before an eligible scheduled renewal has been processed, that future renewal will be stopped.

You do not have to participate in a retention conversation before an otherwise valid cancellation takes effect.

10.2 Standard Month-to-Month Clients

For Standard Coaching, cancellation stops the next eligible monthly renewal.

You continue to receive coaching through the end of the period already paid.

No prorated refund is owed merely because you choose to stop participating before that paid period ends.

10.3 Commitment Clients

You may stop the automatic $500 Preferred Coaching continuation at any time before the first Preferred charge is processed.

Stopping continuation does not cancel the initial three-calendar-month commitment.

For an installment commitment, any remaining required $750 initial installments remain due even if you decide to stop participating before the commitment ends.

For a paid-in-full commitment, voluntarily stopping participation early does not create an automatic right to a partial refund of the initial paid-in-full amount.

11. Refunds and Billing Corrections

Payments for coaching already provided or for a paid period already underway are generally non-refundable solely because you decide not to continue participating.

Initial commitment payments are subject to the commitment rules in Section 10.

FROMM FORM will correct or refund a duplicate charge, incorrect charge, or other verified billing error.

Hardship accommodations are governed by Section 13 and may include a credit, payment adjustment, service extension, refund, or another arrangement at FROMM FORM’s discretion.

If FROMM FORM ends your coaching without material breach or misconduct by you and will no longer provide prepaid future coaching, FROMM FORM will refund the reasonable unused prepaid portion of the coaching it will not provide.

If applicable law requires a refund or cancellation right different from this Agreement, that law controls.

12. Suspension or Termination by FROMM FORM

FROMM FORM may suspend or terminate the coaching relationship for reasons including nonpayment, harassment or threatening behavior, fraud or intentional material misrepresentation, unlawful activity, serious misuse of NAVPOINT, repeated material violations of this Agreement, or conduct that makes the coaching relationship unsafe or fundamentally unworkable.

Where practical, FROMM FORM may give you an opportunity to correct a minor issue before termination. Serious conduct may justify immediate action.

FROMM FORM may also limit or discontinue a particular service when your needs exceed the Coach’s professional scope or require care from an appropriately licensed professional.

If FROMM FORM terminates the coaching relationship, amounts already properly due or earned before termination remain payable.

FROMM FORM will not continue charging new future coaching fees for periods after a FROMM FORM-initiated termination.

If termination results from your material breach or misconduct, amounts already paid for coaching already delivered or a paid period already underway are not automatically refundable.

If FROMM FORM terminates the relationship without your breach, Section 11’s unused-prepaid-service refund rule applies.

13. Hardship Accommodations

FROMM FORM recognizes that circumstances such as military deployment, significant illness or injury, or another exceptional hardship may materially interfere with your ability to participate.

You may request a hardship accommodation by email.

FROMM FORM may, in its discretion, approve an accommodation such as extending your coaching term, modifying the timing or amount of a future payment where operationally appropriate, temporarily reducing coaching obligations, or another arrangement agreed in writing.

An accommodation is evaluated case by case and is not guaranteed.

FROMM FORM may request reasonable documentation supporting the circumstances, such as military orders or a provider note, and will seek only information reasonably necessary to evaluate the request.

A hardship accommodation will not ordinarily exceed six months. Circumstances requiring a longer interruption may require ending the existing coaching relationship and beginning a new onboarding process later because your goals, baseline, health, schedule, or programming needs may have materially changed.

Approval of a hardship accommodation does not guarantee that every billing date will move by exactly the length of the accommodation. The actual arrangement will be confirmed in writing.

14. Communications

You agree that FROMM FORM may send communications reasonably necessary to operate and provide your coaching service, including coaching messages, FITREP reminders, scheduling information, billing and renewal notices, security notices, and other service-related communications.

These communications may be sent through NAVPOINT, email, or another service channel reasonably used to deliver your coaching.

Consent to receive service communications is part of receiving the service.

Marketing communications are separate.

You are not required to consent to promotional email, promotional text messages, testimonials, photographs, or other marketing use as a condition of receiving coaching.

Any marketing email or marketing text consent will be requested separately where applicable and may be withdrawn as provided in that consent.

15. Client Photos, Testimonials, and Marketing

Your name, likeness, photographs, videos, progress information, transformation story, testimonial, or similar client content will not be used for FROMM FORM marketing merely because you are a coaching client.

Marketing use requires separate, optional consent.

Declining marketing or testimonial permission does not change your eligibility for coaching or the quality of coaching you receive.

If you later grant such permission, the terms of that separate media/testimonial consent control the authorized use.

16. Privacy and Personal Information

FROMM FORM uses personal information to operate the coaching relationship, including information reasonably necessary for applications, enrollment, payment, scheduling, communication, strength and conditioning programming, nutrition coaching, FITREPs, execution review, progress tracking, safety, and related business operations.

Fitness and wellness information you provide may include sensitive information such as body weight, photographs, training performance, nutrition information, pain or injury feedback, and other personal health or wellness information.

FROMM FORM does not sell your private coaching or health/wellness information for advertising purposes and does not use that information to build unrelated targeted-advertising profiles.

Marketing use of client-specific information is governed separately as described in Section 15.

FROMM FORM’s detailed data practices, service providers, retention practices, and applicable privacy rights are described in its current Privacy Policy and, where applicable, its separate Consumer Health Data Privacy Policy.

Those policies are privacy notices and do not eliminate rights you may have under applicable law.

You may request access, correction, or deletion of personal information through the process identified in the applicable privacy policy, subject to information FROMM FORM may lawfully or reasonably need to retain for purposes such as financial records, fraud prevention, legal obligations, security, or dispute resolution.

17. Ownership of Coaching Materials and Client Content

17.1 FROMM FORM Materials

FROMM FORM retains ownership of its original written materials, programming templates, educational content, guides, branded materials, NAVPOINT content and interfaces, and other original creative materials.

You receive a personal, non-exclusive right to use coaching materials supplied to you for your own fitness and nutrition purposes.

You may save, print, and continue referring to your own individualized plans and records after coaching ends.

You may also share relevant portions of your coaching materials with a physician, physical therapist, registered dietitian, trainer, or other professional assisting you personally.

You may not sell, commercially redistribute, sublicense, republish as your own product, or use FROMM FORM materials to create a competing commercial offering.

Nothing in this Agreement claims ownership over general fitness concepts, exercise methods, macro counting, programming principles, or other ideas that are not themselves protectable proprietary content.

17.2 Your Content

You retain ownership of content you provide, including your photographs, written responses, FITREPs, logs, and similar personal material.

You grant FROMM FORM the limited permission reasonably necessary to receive, store, process, and use that content to provide and operate your coaching service.

This service-use permission is different from marketing permission. Marketing use requires the separate consent described in Section 15.

18. Technology and Third-Party Services

FROMM FORM uses third-party technology providers to operate portions of the service.

These may include NAVPOINT infrastructure, hosting/database providers, Google Workspace for scheduling and video calls, and Stripe or another payment processor for payment services.

Payment processors, rather than FROMM FORM, handle payment-card information according to their own systems and legal obligations. FROMM FORM does not need your full payment-card number in order to provide coaching.

Temporary technology outages may occur. When reasonably possible, FROMM FORM may use another appropriate communication or service channel to maintain the coaching relationship during an outage.

19. Electronic Agreement and Records

You agree that this Agreement may be entered into electronically.

Selecting the acceptance checkbox or other clearly identified acceptance control presented with this Agreement constitutes your electronic signature and indicates your intent to be bound.

FROMM FORM may maintain an electronic record of the Agreement version you accepted, the date and time of acceptance, and the account, prospect, or enrollment associated with that acceptance.

Your recurring-billing authorization is presented and recorded separately from general acceptance of this Agreement.

Optional marketing and media/testimonial permissions are also separate from acceptance of this Agreement.

20. Governing Law and Disputes

This Agreement is governed by the laws of the State of Tennessee, without regard to conflict-of-law principles, except to the extent another applicable law gives you a consumer right that cannot lawfully be waived or displaced by this Agreement.

Before beginning formal litigation, you and FROMM FORM agree to make a good-faith effort to resolve a dispute through written notice and direct discussion when reasonably possible.

If informal resolution is unsuccessful, either party may bring an eligible claim in small-claims court or another court of competent jurisdiction in Tennessee, subject to any non-waivable jurisdictional or consumer rights that apply.

This Agreement does not require mandatory arbitration.

21. No Waiver of Non-Waivable Rights

Nothing in this Agreement is intended to waive a right, remedy, refund, cancellation right, liability, or consumer protection that applicable law does not permit the parties to waive.

If a particular provision conflicts with a mandatory law applicable to you, that mandatory law controls to the extent of the conflict.

22. Severability

If a court or other authority determines that one provision of this Agreement is unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

The affected provision should be enforced to the maximum lawful extent rather than invalidating the entire Agreement where legally permitted.

23. Entire Agreement

This Agreement, together with your accepted Enrollment Offer and any separately accepted recurring-billing disclosure, contains the agreement between you and FROMM FORM concerning the coaching relationship covered here.

Privacy notices and separately optional marketing or media consents remain separate according to their own terms.

A verbal conversation does not modify your price, commitment, cancellation obligations, or other material terms unless the change is confirmed in writing by FROMM FORM and, where appropriate, accepted by you.

25. Client Acknowledgment

By accepting this Agreement electronically, you acknowledge that:

  • You are at least 18 years old and legally able to enter into this Agreement.
  • You have had the opportunity to read this Agreement before paying.
  • You understand what coaching includes and what it does not include.
  • You understand the payment arrangement shown in your Enrollment Offer.
  • If your arrangement includes an initial commitment, you understand that stopping future automatic continuation does not erase that existing commitment.
  • If your arrangement includes automatic recurring billing, you understand that recurring-billing authorization is presented separately and requires your affirmative consent.
  • You understand that exercise and changes in nutrition involve risk and that remote coaching is not medical supervision.
  • You understand that results are not guaranteed.
  • You understand how to stop eligible future automatic continuation through NAVPOINT or by email.
  • You voluntarily agree to these terms.
